10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL STOCKSCANVAS, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES (EVEN IF STOCKSCANVAS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), ARISING OUT OF OR IN CONNECTION WITH: (I) YOUR ACCESS TO, USE OF, OR INABILITY TO ACCESS OR USE THE SERVICES; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES; (III) ANY CONTENT OR DATA OBTAINED FROM THE SERVICES, INCLUDING ANY RELIANCE PLACED ON SUCH CONTENT OR DATA (WHICH IS PROVIDED FOR INFORMATIONAL PURPOSES ONLY – SEE SECTION 3); (IV) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT; OR (V) ANY OTHER MATTER RELATING TO THE SERVICES. STOCKSCANVAS'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES IS LIMITED TO THE GREATER OF THE AMOUNT PAID BY YOU TO STOCKSCANVAS FOR THE SERVICES IN THE 12 MONTHS PRECEDING THE CLAIM OR $100 USD.

11. Indemnification

You agree to indemnify, defend, and hold harmless StocksCanvas, its affiliates, officers, directors, employees, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services, including, but not limited to, any use of the Service's content, data, and tools other than as expressly authorized in these Terms or your use of any information obtained from the Services.

12. Modifications to Terms

StocksCanvas reserves the right, at its sole discretion, to modify or replace these Terms at any time. If we make material changes, we will provide notice, such as by updating the "Effective Date" at the top of these Terms and/or by posting a notice on the Site or sending you an email. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Services after those revisions become effective, you agree to be bound by the revised Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Services shall be instituted exclusively in the federal courts of the United States or the courts of the State of Delaware located in Wilmington, Delaware.
